Everything You Need to Know About How to Register Company in Dubai

A Mainland company typically takes 3–5 working days and a Free Zone company takes 1–3 working days, provided all your documents are submitted correctly and nothing is flagged by the authority.
Yes, and this changed significantly in 2021. Following the UAE's amendments to its Commercial Companies Law, foreign nationals can own 100% of a Mainland company in most business activities without needing a local Emirati sponsor.
A Mainland licence lets you trade anywhere in the UAE, including with government entities. A Free Zone licence is better suited to international business and comes with tax advantages, but if you want to sell directly to UAE-based customers you will need a local distributor or a separate Mainland entity.
You will need a valid passport copy, a recent utility bill or bank statement as proof of address, and a passport-size photograph for each shareholder and director. Some Free Zones may also request a business plan or bank reference letter.
Most Free Zones have no minimum share capital requirement. For Mainland LLCs the minimum is technically AED 300,000 but in practice this is rarely enforced and most businesses start with a nominal share capital of AED 10,000 to AED 50,000.
Not necessarily. Most Free Zones offer flexi-desk and virtual office options which satisfy the registered address requirement. A physical office is generally required for Mainland licences depending on the business activity.
VAT registration is mandatory if your annual taxable turnover exceeds AED 375,000. If it is between AED 187,500 and AED 375,000 you can register voluntarily. Below AED 187,500 registration is not required.
Your UAE trade licence must be renewed every year before the expiry date. Late renewal attracts daily fines so it is recommended to begin the renewal process at least 30 days before expiry.
Yes. The UAE introduced a 9% corporate tax in June 2023 on business profits exceeding AED 375,000. All registered companies are required to file a corporate tax return annually with the Federal Tax Authority regardless of whether tax is payable.
